DocumentSOFTWARELICENSEAGREEMENTDONOTDOWNLOAD,INSTALL,ACCESS,COPY,ORUSEANYPORTIONOFTHESOFTWAREUNTILYOUHAVEREADANDACCEPTEDTHETERMSANDCONDITIONSOFTHISAGREEMENT.BYINSTALLING,COPYING,ACCESSING,ORUSINGTHESOFTWARE,YOUAGREETOBELEGALLYBOUNDBYTHETERMSANDCONDITIONSOFTHISAGREEMENT.IfYoudonotagreetobeboundby,ortheentityforwhosebenefitYouacthasnotauthorizedYoutoaccept,thesetermsandconditions,donotinstall,access,copy,orusetheSoftwareanddestroyallcopiesoftheSoftwareinYourpossession.ThisSOFTWARELICENSEAGREEMENT(this“Agreement”)isenteredintobetweenIntelCorporation,aDelawarecorporation(“Intel”)andYou.“You”referstoyouoryouremployerorotherentityforwhosebenefityouact,asapplicable.IfyouareagreeingtothetermsandconditionsofthisAgreementonbehalfofacompanyorotherlegalentity,yourepresentandwarrantthatyouhavethelegalauthoritytobindthatlegalentitytotheAgreement,inwhichcase,"You"or"Your"shallbeinreferencetosuchentity.IntelandYouarereferredtohereinindividuallyasa“Party”or,together,asthe“Parties”.TheParties,inconsiderationofthemutualcovenantscontainedinthisAgreement,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichtheyacknowledge,andintendingtobelegallybound,agreeasfollows:1.PURPOSE.Youseektoobtain,andInteldesirestoprovideYou,underthetermsofthisAgreement,SoftwaresolelyforYoureffortstodevelopanddistributeproductsintegratingIntelhardwareandIntelsoftware.“Software”referstocertainsoftwareorothercollateral,including,butnotlimitedto,relatedcomponents,operatingsystem,applicationprograminterfaces,devicedrivers,associatedmedia,printedorelectronicdocumentationandanyupdates,upgradesorreleasestheretoassociatedwithIntelproduct(s),softwareorservice(s).“Intel-basedproduct”referstoadevicethatincludes,incorporates,orimplementsIntelproduct(s),softwareorservice(s).2.LIMITEDLICENSE.ConditionedonYourcompliancewiththetermsandconditionsofthisAgreement,IntelgrantstoYoualimited,nonexclusive,nontransferable,revocable,worldwide,fullypaid-uplicenseduringthetermofthisAgreement,withouttherighttosublicense,underIntel’scopyrights(subjecttoanythirdpartylicensingrequirements),to(i)internallypreparederivativeworks(asdefinedin17U.S.C.§101)oftheSoftware(“Derivatives”),ifprovidedorotherwisemadeavailablebyIntelinsourcecodeform,andreproducetheSoftware,includingDerivatives,ineachcaseonlyforYourowninternalevaluation,testing,validation,anddevelopmentofIntel-basedproductsandanyassociatedmaintenancethereof;(ii)reproduce,display,andpubliclyperformanobjectcoderepresentationoftheSoftware,includingYourDerivatives,ineachcaseonlywhenintegratedwithandexecutedbyanIntel-basedproduct,subjecttoanythirdpartylicensingrequirements;and(iii)distributeanobjectcoderepresentationoftheSoftware,providedbyIntel,orofanyDerivativescreatedbyYou,solelyasembeddedinorforexecutiononanIntel-basedproduct,andiftoanenduser,pursuanttoalicenseagreementwithtermsandconditionsatleastasrestrictiveasthosecontainedintheIntelEndUserSoftwareLicenseAgreementinAppendixAhereto.IfYouarenotthefinalmanufacturerorvendorofanIntel-basedproductincorporatingordesignedtoincorporatetheSoftware,YoumaytransferacopyoftheSoftware,includinganyDerivatives(andrelatedenduserdocumentation)createdbyYoutoYourOriginalEquipmentManufacturer(OEM),OriginalDeviceManufacturer(ODM),distributors,orsystemintegrationpartners(“YourPartner”)foruseinaccordancewiththetermsandconditionsofthisAgreement,providedYourPartneragreestobefullyboundbythetermshereofandprovidedthatYouwillremainfullyliabletoIntelfortheactionsandinactionsofYourPartner(s).3.LICENSERESTRICTIONS.Allright,titleandinterestinandtotheSoftwareandassociateddocumentationareandwillremaintheexclusivepropertyofIntelanditslicensorsorsuppliers.UnlessexpresslypermittedundertheAgreement,Youwillnot,andwillnotallowanythirdpartyto(i)use,copy,distribute,selloroffertoselltheSoftwareorassociateddocumentation;(ii)modify,adapt,enhance,disassemble,decompile,reverseengineer,changeorcreatederivativeworksfromtheSoftwareexceptandonlytotheextentasspecificallyrequiredbymandatoryapplicablelawsoranyapplicablethirdpartylicensetermsaccompanyingtheSoftware;(iii)useormaketheSoftwareavailablefortheuseorbenefitofthirdparties;or(iv)usetheSoftwareonYourproductsotherthanthosethatincludetheIntelhardwareproduct(s),platform(s),orsoftwareidentifiedintheSoftware;or(v)publishorprovideanySoftwarebenchmarkorcomparisontestresults.YouacknowledgethatanessentialbasisofthebargaininthisAgreementisthatIntelgrantsYounolicensesorotherrightsincluding,butnotlimitedto,patent,copyright,tradesecret,trademark,tradename,servicemarkorotherintellectualpropertylicensesorrightswithrespecttotheSoftwareandassociateddocumentation,byimplication,estoppelorotherwise,exceptforthelicensesexpresslygrantedabove.YouacknowledgetherearesignificantusesoftheSoftwareinitsoriginal,unmodifiedanduncombinedform.YoumaynotremoveanycopyrightnoticesfromtheSoftware.4.LICENSETOFEEDBACK.ThisAgreementdoesnotobligateYoutoprovideIntelwithmaterials,information,comments,suggestions,YourDerivativesorothercommunicationregardingthefeatures,functions,performanceoruseoftheSoftware(“Feedback”).IfanyportionoftheSoftwareisprovidedorotherwisemadeavailablebyIntelinsourcecodeform,totheextentYouprovideIntelwithFeedbackinatangibleform,YougranttoIntelanditsaffiliatesanon-exclusive,perpetual,sublicenseable,irrevocable,worldwide,royalty-free,fullypaid-upandtransferablelicense,toandunderallofYourintellectualpropertyrights,whetherperfectedornot,topubliclyperform,publiclydisplay,reproduce,use,make,havemade,sell,offerforsale,distribute,import,createderivativeworksofandotherwiseexploitanycomments,suggestions,descriptions,ideas,YourDerivativesorotherfeedbackregardingtheSoftwareprovidedbyYouoronYourbehalf.5.OPENSOURCESTATEMENT.TheSoftwaremayincludeOpenSourceSoftware(OSS)licensedpursuanttoOSSlicenseagreement(s)identifiedintheOSScommentsintheapplicablesourcecodefile(s)orfileheader(s)providedwithorotherwiseassociatedwiththeSoftware.NeitherYounoranyOEM,ODM,customer,ordistributormaysubjectanyproprietaryportionoftheSoftwaretoanyOSSlicenseobligationsincluding,withoutlimitation,combiningordistributingtheSoftwarewithOSSinamannerthatsubjectsIntel,theSoftwareoranyportionthereoftoanyOSSlicenseobligation.NothinginthisAgreementlimitsanyrightsunder,orgrantsrightsthatsupersede,thetermsofanyapplicableOSSlicense.6.THIRDPARTYSOFTWARE.CertainthirdpartysoftwareprovidedwithorwithintheSoftwaremayonlybeused(a)uponsecuringalicensedirectlyfromtheownerofthesoftwareor(b)incombinationwithhardwarecomponentspurchasedfromsuchthirdpartyand(c)subjecttofurtherlicenselimitationsbythesoftwareowner.AlistingofanysuchthirdpartylimitationsisinoneormoretextfilesaccompanyingtheSoftware.YouacknowledgeIntelisnotprovidingYouwithalicensetosuchthirdpartysoftwareandfurtherthatitisYourresponsibilitytoobtainappropriatelicensesfromsuchthirdpartiesdirectly.7.CONFIDENTIALITY.ThetermsandconditionsofthisAgreement,exchangedconfidentialinformation,aswellastheSoftwarearesubjecttothetermsandconditionsoftheNon-DisclosureAgreement(s)orIntelPre-ReleaseLoanAgreement(s)(referredtohereincollectivelyorindividuallyas“NDA”)enteredintobyandinforcebetweenIntelandYou,andinanycasenolessconfidentialityprotectionthanYouapplytoYourinformationofsimilarsensitivity.IfYouwouldliketohaveacontractorperformworkonYourbehalfthatrequiresanyaccesstooruseofSoftware,YoumustobtainawrittenconfidentialityagreementfromthecontractorwhichcontainstermsandconditionswithrespecttoaccesstooruseofSoftwarenolessrestrictivethanthosesetforthinthisAgreement,excludinganydistributionrightsanduseforanyotherpurpose,andYouwillremainfullyliabletoIntelfortheactionsandinactionsofthosecontractors.YoumaynotuseIntel'snameinanypublications,advertisements,orotherannouncementswithoutIntel'spriorwrittenconsent.8.NOOBLIGATION;NOAGENCY.IntelmaymakechangestotheSoftware,oritemsreferencedtherein,atanytimewithoutnotice.Intelisnotobligatedtosupport,update,providetrainingfor,ordevelopanyfurtherversionoftheSoftwareortograntanylicensethereto.Noagency,franchise,partnership,jointventure,oremployee-employerrelationshipisintendedorcreatedbythisAgreement.9.EXCLUSIONOFWARRANTIES.THESOFTWAREISPROVIDED"ASIS"WITHOUTANYEXPRESSORIMPLIEDWARRANTYOFANYKINDINCLUDINGWARRANTIESOFMERCHANTABILITY,NONINFRINGEMENT,ORFITNESSFORAPARTICULARPURPOSE.Inteldoesnotwarrantorassumeresponsibilityfortheaccuracyorcompletenessofanyinformation,text,graphics,linksorotheritemswithintheSoftware.10.LIMITATIONOFLIABILITY.INNOEVENTWILLINTELORITSAFFILIATES,LICENSORSORSUPPLIERS(INCLUDINGTHEIRRESPECTIVEDIRECTORS,OFFICERS,EMPLOYEES,ANDAGENTS)BELIABLEFORANYDAMAGESWHATSOEVER(INCLUDING,WITHOUTLIMITATION,LOSTPROFITS,BUSINESSINTERRUPTION,ORLOSTDATA)ARISINGOUTOFORINRELATIONTOTHISAGREEMENT,INCLUDINGTHEUSEOFORINABILITYTOUSETHESOFTWARE,EVENIFINTELHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.SOMEJURISDICTIONSPROHIBITEXCLUSIONORLIMITATIONOFLIABILITYFORIMPLIEDWARRANTIESORCONSEQUENTIALORINCIDENTALDAMAGES,SOTHEABOVELIMITATIONMAYINPARTNOTAPPLYTOYOU.THESOFTWARELICENSEDHEREUNDERISNOTDESIGNEDORINTENDEDFORUSEINANYMEDICAL,LIFESAVINGORLIFESUSTAININGSYSTEMS,TRANSPORTATIONSYSTEMS,NUCLEARSYSTEMS,ORFORANYOTHERMISSIONCRITICALAPPLICATIONINWHICHTHEFAILUREOFTHESOFTWARECOULDLEADTOPERSONALINJURYORDEATH.YOUMAYALSOHAVEOTHERLEGALRIGHTSTHATVARYFROMJURISDICTIONTOJURISDICTION.THELIMITEDREMEDIES,WARRANTYDISCLAIMERANDLIMITEDLIABILITYAREFUNDAMENTALELEMENTSOFTHEBASISOFTHEBARGAINBETWEENINTELANDYOU.YOUACKNOWLEDGEINTELWOULDBEUNABLETOPROVIDETHESOFTWAREWITHOUTSUCHLIMITATIONS.YOUWILLINDEMNIFYANDHOLDINTELANDITSAFFILIATES,LICENSORSANDSUPPLIERS(INCLUDINGTHEIRRESPECTIVEDIRECTORS,OFFICERS,EMPLOYEES,ANDAGENTS)HARMLESSAGAINSTALLCLAIMS,LIABILITIES,LOSSES,COSTS,DAMAGES,ANDEXPENSES(INCLUDINGREASONABLEATTORNEYFEES),ARISINGOUTOF,DIRECTLYORINDIRECTLY,THEDISTRIBUTIONOFTHESOFTWAREANDANYCLAIMOFPRODUCTLIABILITY,PERSONALINJURYORDEATHASSOCIATEDWITHANYUNINTENDEDUSE,EVENIFSUCHCLAIMALLEGESTHATINTELORANINTELAFFILIATE,LICENSORSORSUPPLIERWASNEGLIGENTREGARDINGTHEDESIGNORMANUFACTUREOFTHESOFTWARE.11.TERMINATIONANDSURVIVAL.IntelmayterminatethisAgreementforanyreasonwiththirty(30)days’noticeandimmediatelyifYouorsomeoneactingonYourbehalforatYourbehestviolatesanyofitstermsorconditions.Upontermination,YouwillimmediatelydestroyandensurethedestructionoftheSoftwareorreturnallcopiesoftheSoftwaretoIntel(includingprovidingcertificationofsuchdestructionorreturnbacktoIntel).UponterminationofthisAgreement,alllicensesgrantedtoYouhereunderterminateimmediately.AllSectionsofthisAgreement,exceptSection2,willsurvivetermination.12.GOVERNINGLAWANDJURISDICTION.ThisAgreementandanydisputearisingoutoforrelatingtoitwillbegovernedbythelawsoftheU.S.A.andDelaware,withoutregardtoconflictoflawsprinciples.ThePartiesexcludetheapplicationoftheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(1980).ThestateandfederalcourtssittinginDelaware,U.S.A.willhaveexclusivejurisdictionoveranydisputearisingoutoforrelatingtothisAgreement.ThePartiesconsenttopersonaljurisdictionandvenueinthosecourts.APartythatobtainsajudgmentagainsttheotherPartyinthecourtsidentifiedinthissectionmayenforcethatjudgmentinanycourtthathasjurisdictionovertheParties.13.EXPORTREGULATIONS/EXPORTCONTROL.YouagreethatneitherYounorYoursubsidiarieswillexport/re-exporttheSoftware,directlyorindirectly,toanycountryforwhichtheU.S.DepartmentofCommerceoranyotheragencyordepartmentoftheU.S.Governmentortheforeigngovernmentfromwhereitisshippingrequiresanexportlicense,orothergovernmentalapproval,withoutfirstobtaininganysuchrequiredlicenseorapproval.IntheeventtheSoftwareisexportedfromtheU.S.A.orre-exportedfromaforeigndestinationbyYouorYoursubsidiary,Youwillensurethatthedistributionandexport/re-exportorimportoftheSoftwarecomplieswithalllaws,regulations,orders,orotherrestrictionsoftheU.S.ExportAdministrationRegulationsandtheappropriateforeigngovernment.14.GOVERNMENTRESTRICTEDRIGHTS.TheSoftwareisacommercialitem(asdefinedin48C.F.R.2.101)consistingofcommercialcomputersoftwareandcommercialcomputersoftwaredocumentation(asthosetermsareusedin48C.F.R.12.212).Consistentwith48C.F.R.12.212and48C.F.R227.7202-1through227.7202-4,YouwillnotprovidetheSoftwaretotheU.S.Government.ContractororManufacturerisIntelCorporation,2200MissionCollegeBlvd.,SantaClara,CA95054.15.ASSIGNMENT.Youmaynotdelegate,assignortransferthisAgreement,thelicense(s)grantedoranyofYourrightsordutieshereunder,expressly,byimplication,byoperationoflaw,orotherwiseandanyattempttodoso,withoutIntel’sexpresspriorwrittenconsent,willbenullandvoid.Intelmayassign,delegateandtransferthisAgreement,anditsrightsandobligationshereunder,initssolediscretion.16.ENTIREAGREEMENT;SEVERABILITY.ThetermsandconditionsofthisAgreementandanyNDAwithIntelconstitutetheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof,andmergeandsupersedeallpriororcontemporaneousagreements,understandings,negotiationsanddiscussions.NeitherPartywillbeboundbyanyterms,conditions,definitions,warranties,understandings,orrepresentationswithrespecttothesubjectmatterhereofotherthanasexpresslyprovidedherein.IntheeventanyprovisionofthisAgreementisunenforceableorinvalidunderanyapplicablelaworapplicablecourtdecision,suchunenforceabilityorinvaliditywillnotrenderthisAgreementunenforceableorinvalidasawhole,insteadsuchprovisionwillbechangedandinterpretedsoastobestaccomplishtheobjectivesofsuchprovisionwithinlegallimits.17.WAIVER.ThefailureofaPartytorequireperformancebytheotherPartyofanyprovisionhereofwillnotaffectthefullrighttorequiresuchperformanceatanytimethereafter;norwillwaiverbyaPartyofabreachofanyprovisionhereofconstituteawaiveroftheprovisionitself.18.PRIVACY.YOURPRIVACYRIGHTSARESETFORTHININTEL’SPRIVACYNOTICE,WHICHFORMSAPARTOFTHISAGREEMENT.PLEASEREVIEWTHEPRIVACYNOTICEATHTTP://WWW.INTEL.COM/PRIVACYTOLEARNHOWINTELCOLLECTS,USESANDSHARESINFORMATIONABOUTYOU.APPENDIXAINTELENDUSERSOFTWARELICENSEAGREEMENTIMPORTANT-READBEFORECOPYING,INSTALLINGORUSING..THEFOLLOWINGNOTICE,ORTERMSANDCONDITIONSSUBSTANTIALLYIDENTICALINNATUREANDEFFECT,MUSTAPPEARINTHEDOCUMENTATIONASSOCIATEDWITHTHEINTEL-BASEDPRODUCTINTOWHICHTHESOFTWAREISINSTALLED.MINIMALLY,SUCHNOTICEMUSTAPPEARINTHEUSERGUIDEFORTHEPRODUCT.THETERM“LICENSEE”INTHISTEXTREFERSTOTHEENDUSEROFTHEPRODUCT.LICENSE.LicenseehasalicenseunderIntel’scopyrightstoreproduceIntel’sSoftwareonlyinitsunmodifiedandbinaryform,(withtheaccompanyingdocumentation,the“Software”)forLicensee’spersonaluseonly,andnotcommercialuse,inconnectionwithIntel-basedproductsforwhichtheSoftwarehasbeenprovided,subjecttothefollowingconditions:Licenseemaynotdisclose,distributeortransferanypartoftheSoftware,andYouagreetopreventunauthorizedcopyingoftheSoftware.Licenseemaynotreverseengineer,decompile,ordisassembletheSoftware.LicenseemaynotsublicensetheSoftware.TheSoftwaremaycontainthesoftwareandotherintellectualpropertyofthirdpartysuppliers,someofwhichmaybeidentifiedin,andlicensedinaccordancewith,anenclosedlicense.txtfileorothertextorfile.Intelhasnoobligationtoprovideanysupport,technicalassistanceorupdatesfortheSoftware.OWNERSHIPOFSOFTWAREANDCOPYRIGHTS.TitletoallcopiesoftheSoftwareremainswithInteloritslicensorsorsuppliers.TheSoftwareiscopyrightedandprotectedbythelawsoftheUnitedStatesandothercountries,andinternationaltreatyprovisions.Lic
